Terms of Service

These Terms govern your access to and use of CT Chat, ctchat.com, and all related mobile applications, content, and services (collectively, the "Services"), provided by Commodity Technologies Limited ("Commodity Technologies", "we", "us").

Our Services are offered subject to your acceptance of all the terms and conditions contained herein, together with our Privacy Policy and any other operating rules or policies published by Commodity Technologies (collectively, the "Agreement"). By accessing or using any part of our Services, you agree to be bound by the Agreement.

1. Who's Who

Throughout these Terms, "you" applies to both individuals and entities that access or use our Services. If you are using our Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

2. Your Account

Where use of our Services requires an account, you agree to provide complete and accurate information when you register. You are solely responsible for all activity that occurs under your account and for keeping your credentials secure. You must notify us immediately of any unauthorised use of your account.

CT Chat is invite-only. Accounts are created by receiving an invitation from an existing user or through a firm-managed provisioning process.

3. Fees, Payment, and Renewal

Core chat functionality is free. Compliance features (recording, supervision, archiving) and enterprise functionality (SSO/SCIM, data residency) are offered as paid services ("Paid Services"). By using a Paid Service, you agree to pay the specified fees. Fees are billed on a recurring basis until cancelled.

All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for payment of all applicable taxes. We may change our fees at any time with reasonable notice. Refunds are issued at our sole discretion unless otherwise required by applicable law.

4. The Licence

The Services and all associated software and content are the property of Commodity Technologies or its licensors. We grant you a limited, non-exclusive, revocable licence to use our Services in accordance with these Terms.

5. Acceptable Use

You represent and warrant that your use of our Services:

  • Will be in strict accordance with these Terms;
  • Will comply with all applicable laws and regulations;
  • Will not be used for any unlawful purposes or to distribute illegal content;
  • Will not infringe the intellectual property rights of any third party;
  • Will not overburden our systems;
  • Will not involve reverse engineering, decompiling, or disassembling any of our software;
  • Will not disclose sensitive personal information of others.

6. Compliance Recording

Firm-managed accounts may be subject to compliance recording. Messages sent to or from a recorded account are archived by the firm. By communicating with a recorded account, you acknowledge that your messages may be recorded and retained by that firm in accordance with applicable regulations.

7. Intellectual Property

All intellectual property rights in our Services, software, and content remain the exclusive property of Commodity Technologies. CT Chat, the CT Chat logo, and all related trademarks, service marks, and logos are trademarks of Commodity Technologies. Your use of our Services grants you no right to reproduce or use any of our trademarks.

8. Changes

We may modify these Terms from time to time. We will notify you of material changes by posting on our website or by sending you a communication before the changes take effect. Your continued use of our Services after changes become effective constitutes acceptance of the new terms.

9. Termination

We may terminate your access to our Services at any time, with or without cause, with or without notice. If you wish to terminate your account, please contact our support team. All provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

Our Services are provided "as is." Commodity Technologies and its suppliers and licensors disclaim all warranties of any kind, express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be error-free or uninterrupted.

11. Governing Law

The Agreement and any access to or use of our Services will be governed by the laws of England and Wales, excluding conflict of law provisions.

12. Arbitration

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute arising under this Agreement shall be finally settled by arbitration in London, England, in the English language. The prevailing party shall be entitled to costs and legal fees.

13. Limitation of Liability

In no event will Commodity Technologies be liable for any special, incidental, or consequential damages; the cost of procurement of substitute services; interruption of use or loss of data; or for any amounts exceeding the greater of £50 or the fees paid by you during the twelve months prior to the cause of action. This limitation shall not apply to the extent prohibited by applicable law.

14. Indemnification

You agree to indemnify and hold harmless Commodity Technologies, its directors, officers, employees, and agents from any losses, liabilities, damages, costs, or expenses arising out of your use of our Services or your violation of this Agreement.

15. Miscellaneous

This Agreement constitutes the entire agreement between you and Commodity Technologies concerning our Services. If any part is held invalid, the remaining portions remain in full force. Commodity Technologies may assign its rights under this Agreement without condition.
